These Terms and Conditions ("Terms") govern access to and use of Fightplane ("Company," "we," "us," or "our"), operating the website located at https://fightplane.com (the "Site" or "Marketplace"), which allows independent creators ("Sellers") to list and sell digital tabletop and virtual tabletop battlemaps and related digital assets ("Maps") to buyers ("Buyers"). Sellers and Buyers are collectively "Users."

By creating an account, browsing, purchasing, or listing content on the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility and Accounts

1.1 You must be at least 18 years old, or the age of majority in your jurisdiction, to create a Seller account or make purchases. Users between 13 and 18 may browse and use free content only with the consent and supervision of a parent or legal guardian who agrees to these Terms on their behalf.

1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@fightplane.com of any unauthorized use.

1.3 You agree to provide accurate, current, and complete information when registering and to keep it updated.

2. Nature of the Marketplace

2.1 Fightplane operates a platform that connects Buyers with independent Sellers. We are an intermediary, not the publisher, author, or owner of Maps listed by third-party Sellers, and we do not pre-screen every listing before it goes live.

2.2 Sellers retain ownership of the intellectual property in their Maps, subject to the license they grant to the Company and to Buyers as described in our Licensing Policy.

2.3 We may, but are not obligated to, review, moderate, remove, or refuse any listing at our sole discretion, including for violations of these Terms, our content guidelines, or applicable law.

3. Seller Terms

3.1 Right to List. By submitting a Map for sale, you represent and warrant that: (a) you own all rights in the Map or have obtained all necessary rights, licenses, and permissions to sell and license it through the Marketplace; (b) the Map does not infringe any copyright, trademark, patent, trade secret, or other intellectual property or proprietary right of any third party; and (c) the Map does not violate any law or these Terms.

3.2 Grant to Company. By listing a Map, you grant the Company a non-exclusive, worldwide, royalty-free license to host, reproduce, display, market, and distribute the Map for the purpose of operating and promoting the Marketplace (including thumbnails, previews, and promotional materials).

3.3 Grant to Buyers. By listing a Map, you agree that each purchase automatically grants the Buyer the license described in our Licensing Policy. Sellers may not offer terms to Buyers on the Site that conflict with the Licensing Policy without our prior written consent.

3.4 Fees and Payouts. The Company retains a commission of 10% + 10¢ of each sale; the remainder is paid to the Seller via Stripe Connect according to our payout schedule, currently every 14 days. Sellers are solely responsible for determining and remitting any taxes owed on their earnings.

3.5 Removal. We may remove any listing or suspend a Seller account for suspected infringement, fraud, or violation of these Terms, our Licensing Policy, or our DMCA Policy.

4. Buyer Terms

4.1 Purchases grant a license to use the Map as described in our Licensing Policy. Purchasing a Map does not transfer ownership or copyright in the underlying artwork.

4.2 Digital Goods / Refunds. Because Maps are digital products delivered instantly, all sales are final except: (a) where required by applicable law, (b) the file is materially defective or corrupted, or (c) the listing was materially misrepresented. Refund requests should be submitted through our support ticket portal or by emailing support@fightplane.com within 10 days of purchase.

4.3 Buyers may not resell, redistribute, sublicense, or share purchased Map files except as expressly permitted in the Licensing Policy.

5. Prohibited Conduct

You agree not to:

Violations may result in content removal, account suspension or termination, withholding of payouts, and reporting to law enforcement where appropriate.

6. Intellectual Property of the Company

The Site's design, branding, logos, text, and software (excluding Seller-uploaded Maps and other User content) are owned by the Company or its licensors and protected by intellectual property law. You may not copy, modify, or use these except as necessary to use the Site as intended.

7. Copyright Complaints

If you believe content on the Site infringes your copyright, see our DMCA Policy for how to submit a takedown notice.

8. Disclaimers

THE SITE AND ALL MAPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT LISTINGS ARE ACCURATE, THAT SELLERS HOLD VALID RIGHTS TO CONTENT THEY UPLOAD, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SITE OR ANY MAP, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your Maps or other content, (b) your breach of these Terms, or (c) your violation of any law or third-party right.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may close your account at any time by contacting support@fightplane.com. Sections that by their nature should survive termination (including Sections 8–10 and 12) will survive.

12. Dispute Resolution and Governing Law

12.1 These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict-of-law principles.

12.2 Arbitration Agreement. Except for claims that qualify for small claims court, any dispute arising out of these Terms will be resolved by binding individual arbitration under the rules of the American Arbitration Association, rather than in court, except that either party may bring an individual action in small claims court. YOU AND THE COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

12.3 If you do not wish to be bound by the arbitration clause, you may opt out by emailing support@fightplane.com within 30 days of accepting these Terms.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date, and continued use of the Site after changes take effect constitutes acceptance.

14. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with the Privacy Policy, Licensing Policy, and DMCA Policy, constitute the entire agreement between you and the Company regarding the Site. You may not assign these Terms without our consent; we may assign them freely in connection with a merger, acquisition, or sale of assets.
